Company dissolution services

The business dissolution process includes 4 steps:

Step 1: Submit notice of enterprise dissolution to the Department of Planning and Investment (DPI)

Within 07 working days from the date of approval of the dissolution decision, you have to submit the Enterprise Dissolution Notice Document to the Business Registration Office – Department of Planning and Investment at the place of headquarters, including:

  • Notice of company dissolution;
  • Decision on dissolution of the company;
  • Minutes of meeting on dissolution (for companies with 2 or more members or joint stock companies).

Step 2: Submit dissolution documents and tax reports up to the time of dissolution and conduct tax finalization with the tax authorities

After complete Step 1, the Tax Authority will update the company’s status “Stop operating but has not completed the procedure for closing the tax code”.

Company processes documents at the tax authority to close the tax code, including:

  • Preparing and submitting tax reports and financial statements until the time of dissolution. The deadline for submition is 45 days from the date of dissolution decision.
  • ìnSending a requesting confirmation of no customs tax debt to the General Department of Customs to confirm no debt of Import-Export taxes.
  • Contacting the tax officer who directly manage company to complete the tax inspection and finaliaztion. After completing the inspection and finalization, the tax authority will issue a “Notice of the taxpayer’s completion of tax payment obligations”.

Step 3: Submit dissolution application to the DPI

After completing Step 2, company submits a dossier notifying the completion of the company’s obligations such as liquidation of assets, debts… to the DPI where the enterprise is located to complete dissolution documents.

Within 05 working days from the date of receipt of valid documents, the DPI will send a Notice of dissolution confirmation to the company.

Step 4: Return the seal to the police station

For businesses established before July 1st, 2015, the business’s seal is issued and managed by the Police, so when the business completes dissolution procedures, the business must go to the Police station ​​where the enterprise is headquartered to return the seal. Documents submitted to the Police station include:

  • Application for return of stamp;
  • Official dispatch on stamp return;
  • Notarized copy of the Notice of Dissolution (Step 3) and Notice of Completion of Tax Obligations (Step 2);
  • Certificate of seal and seal.

For businesses established after July 1st, 2015, the seal is self-managed by the business, so the business does not need to do this procedure.
